Email Integration

Our Service includes integration with email providers to:

• Analyze business emails sent to user-specified order addresses for order-related content
• Extract purchase orders, shipping confirmations, and related business documents
• Convert unstructured email data into structured order information
• Sync processed orders with your connected business systems

Account Registration

• You must provide accurate, complete, and current information during registration
• You are responsible for safeguarding your account credentials
• You must notify us immediately of any unauthorized use of your account
• You must be 18 years or older to create an account

Business Use Only

Second is designed exclusively for business purposes. Personal or non-commercial use is not permitted under these Terms.

Permitted Uses

• Processing legitimate business orders and communications from various communication channels
• Integrating order data with your authorized business systems
• Using extracted data for your internal business operations and record-keeping

Prohibited Uses

You may not use the Service to:

• Process personal, non-business communications
• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Attempt to gain unauthorized access to our systems or other users' data
• Use the Service for any fraudulent or illegal activities
• Reverse engineer, decompile, or attempt to extract our proprietary algorithms

Your Data Ownership

• You retain all rights to your original business data and communications
• Structured order data created by our Service remains your property
• You grant us a limited license to process your data solely to provide our Service

Our Processing Rights

• We may process your communication data to provide, maintain, and improve our Service
• We use aggregated, anonymized data for platform enhancement and AI training
• We do not claim ownership of your business data or communications

Email Data Handling

• We access only business-related emails necessary for order processing
• You can revoke email access at any time through your account settings

Service Availability

• We strive to maintain 99.9% uptime but cannot guarantee uninterrupted service
• Scheduled maintenance will be announced in advance when possible
• We are not liable for temporary service interruptions beyond our reasonable control

Modifications to Service

• We may modify, update, or discontinue features of the Service
• Material changes will be communicated with at least 30 days advance notice
• Continued use after modifications constitutes acceptance of changes

Subscription Fees

• Service fees are billed according to your selected subscription plan
• All fees are non-refundable except as expressly stated in these Terms
• Fees may be adjusted with 30 days written notice

Payment Processing

• You authorize us to charge your designated payment method
• You are responsible for keeping payment information current
• Failure to pay may result in service suspension or termination

Our Intellectual Property

• The Service, including software, algorithms, and AI models, is our proprietary property
• Our trademarks, logos, and branding materials are protected intellectual property
• You receive a limited, non-exclusive license to use the Service as intended

Your Intellectual Property

• You retain rights to your business data and communications
• You grant us a limited license to process your data to provide our Service
• This license terminates when you discontinue using our Service

Service Provided “As Is”

• The Service is provided “as is” without warranties of any kind
• We do not warrant that the Service will be error-free or uninterrupted
• We do not guarantee the accuracy of AI-processed order data

Limitation of Damages

• Our total liability shall not exceed the fees you paid in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, or consequential damages
• We are not liable for business interruption, lost profits, or data loss

User Responsibility

• You are responsible for verifying the accuracy of processed order data
• You should maintain backup systems and processes for critical business operations
• You assume risk for decisions made based on Service output

Termination by You

• You may terminate your account at any time through your account settings
• Upon termination, your access to the Service will cease immediately
• You remain responsible for any outstanding fees

Termination by Us

We may terminate or suspend your access immediately if you:

• Violate these Terms or our Acceptable Use Policy
• Fail to pay fees when due
• Engage in activities that harm our Service or other users
• Violate applicable laws or regulations

Effect of Termination

• All rights and licenses granted to you will terminate
• We will delete your account data according to our data retention policies
• Sections of these Terms that should survive termination will remain in effect

Integration Partners

• The Service integrates with third-party platforms (Google, QuickBooks, ERPs)
• Your use of third-party services is governed by their respective terms
• We are not responsible for third-party service availability or performance

Email Services Integration

• Our email integrations are subject to the respective provider's Terms of Service
• You can manage email permissions through your email provider settings or Second dashboard

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Dispute Resolution Process

1. Direct Communication: Contact us first at legal@withsecond.com
2. Mediation: If direct resolution fails, disputes will be resolved through mediation
3. Arbitration: Unresolved disputes will be settled through binding arbitration
4. Class Action Waiver: You waive rights to participate in class action lawsuits

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Second.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

Assignment

We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights without our written consent.
